Align partnering ACOs/IPAs through an ownership swap

  • Nexus will exchange a portion of ownership in the MSO for a portion of ownership in the ACOs/IPAs
  • This linking of the entities immediately increases the value of both ACOs/IPAs and the MSO

Strengthening contractual terms

  • Interested ACOs/IPAs will have multi-year agreements with the MSO they partially own (Nexus)
  • Through coordination with ACO/IPA physician leadership, participating physicians will likewise be re-contracted for multi-year agreements to the ACOs/IPAs

Including a post-purchase shared-savings split

  • Until such time as a purchase occurs, the ACOs/IPAs will continue to receive favourable portions of shared-savings.
  • To increase the attractiveness and potential payout, the splits will revert to an equitable structure once a sell occurs
